These Terms & Conditions ("Terms") are a legal agreement between you and ECLIPS Academy ("ECLIPS Academy," "we," "us," or "our") governing your access to and use of our websites, digital products, courses, downloads, and related services (collectively, the "Services").

By accessing, purchasing, or using any part of the Services, you agree to these Terms, our Privacy Policy, and our Refund Policy. If you do not agree, do not access or use the Services.

1. ELIGIBILITY

You must be at least 18 years old (or the age of majority in your jurisdiction) to purchase or access the Services.

By using the Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

2. WHAT WE PROVIDE

ECLIPS Academy provides education, training, frameworks, scripts, templates, digital downloads, and online course content related to commercial insurance production and professional development.

All content is provided FOR EDUCATIONAL PURPOSES ONLY.

3. ACCOUNT ACCESS & SECURITY

If you create an account, you agree to:

Provide accurate and current information
Maintain the confidentiality of your login credentials
Not share your account credentials with others
Notify us immediately of any unauthorized use of your account

You are responsible for all activity that occurs under your account.

4. PURCHASES, PRICING & PAYMENTS

All prices are listed in U.S. Dollars (USD) unless otherwise stated
Purchases are processed through our platform and/or third-party payment processors
By completing a purchase, you authorize us (and our processors) to charge your selected payment method for the total amount displayed at checkout
Prices are subject to change, but changes will not affect purchases already completed

4A. PAYMENT PLANS & INSTALLMENT TERMS

When you select a payment plan option (e.g., 3 monthly installments):

IMMEDIATE ACCESS

You receive full access to all purchased materials immediately upon your first payment
Access is not contingent on completing all payments
You can begin using all materials, templates, and resources right away

PAYMENT OBLIGATIONS

Remaining installments are automatically charged to your payment method on the scheduled dates
You are responsible for ensuring your payment method remains valid and has sufficient funds
If a scheduled payment fails, you will receive one (1) email notice to update your payment information within 7 days

SUSPENSION FOR NON-PAYMENT

If payment is not resolved within 7 days of the failed payment notice, your access to the platform and materials will be suspended
Outstanding balances remain due regardless of access status
Access will be restored once payment is successfully processed
No refund is provided for the period during which access was suspended

EARLY PAYOFF

You may pay off your remaining balance at any time with no penalty or additional fees

REFUNDS ON PAYMENT PLANS

If you request a refund under our Implementation Guarantee (see Refund Policy), refunds are issued only for payments already made
Unpaid installments will be cancelled upon refund approval at our discretion
Access to all materials will be revoked upon refund approval

COLLECTIONS

Unpaid balances more than 30 days past due may be sent to collections
You will be responsible for any collection costs, legal fees, and interest charges permitted by law
Late or unpaid accounts may be reported to credit bureaus

5. REFUND POLICY

Digital products are generally non-refundable because:

Access is granted immediately upon purchase
Materials can be downloaded and copied instantly
We must protect our intellectual property

HOWEVER, we offer a 30-Day Implementation Guarantee for individual producer purchases (not agency licenses).

All sales are final except as expressly stated in our Refund Policy.

6. DIGITAL DELIVERY

All products are delivered digitally through our online platform. Delivery is considered complete once:

Access credentials are provided via email
You are able to log in to your account
Course materials are accessible in your dashboard

You are responsible for downloading any materials you wish to retain locally. We are not responsible for materials lost due to account access issues or platform changes.

7. LICENSE & PERMITTED USE

Upon purchase, you are granted a limited, non-exclusive, non-transferable, revocable license to access and use the purchased materials for:

Your personal professional use as an individual producer, OR
Internal agency use only if you purchased the appropriate number of seat licenses

YOU MAY NOT:

Share login credentials with others
Share, resell, sublicense, redistribute, or reproduce any materials
Upload content to shared drives, public sites, or internal libraries without proper multi-seat licensing
Use the materials to create competing or derivative training products for resale
Remove copyright notices or branding from materials
Publicly post, stream, or broadcast video content

8. SEAT LICENSING (INDIVIDUALS & AGENCIES)

Unless explicitly stated otherwise at checkout:

Individual purchases include one (1) seat / one (1) user login
Agency or team access requires one seat license per user
Seat sharing is strictly prohibited
Seats may not be transferred after access is issued without our written approval

We reserve the right to suspend or terminate access for licensing violations.

If you need to transfer a seat (e.g., employee departure), contact [email protected] to request approval. Seat transfers are granted at our sole discretion.

9. INTELLECTUAL PROPERTY

All content—including videos, PDFs, scripts, templates, frameworks, branding, trademarks, and training modules—is owned by ECLIPS Academy and/or its licensors and is protected by intellectual property laws including copyright, trademark, and trade secret laws.

No ownership rights are transferred to you. You receive only a limited license to use the materials as permitted in Section 7.

10. PROHIBITED CONDUCT

You agree not to:

Copy, scrape, hack, reverse engineer, or bypass platform restrictions
Use the Services for unlawful purposes
Infringe intellectual property rights of ECLIPS Academy or others
Misrepresent affiliation with ECLIPS Academy
Transmit harmful code, malware, viruses, or malicious content
Harass, threaten, or abuse other users or our team
Attempt to gain unauthorized access to other accounts or systems

Violation of these prohibited conduct rules may result in immediate termination of your access without refund.

11. NO PROFESSIONAL ADVICE / NO GUARANTEES

ECLIPS Academy provides education and training only. We do not provide legal, tax, compliance, underwriting, carrier, or financial advice.

Our content does not replace:

Independent professional judgment
Carrier guidelines and underwriting authority
Legal or compliance review by qualified professionals
Specific policy language and endorsements

WE MAKE NO GUARANTEES regarding outcomes, including but not limited to:

Sales or revenue results
BOR (Book of Record) conversions
Client acquisition numbers
Career advancement or promotions
Any specific financial or production performance

Results depend on individual effort, skill, market conditions, and factors outside our control.

The testimonials, case studies, examples, and results shown on this website represent exceptional outcomes and are NOT TYPICAL.

Individual results vary significantly based on:

Individual effort, discipline, and commitment to implementation
Prior experience and skill level in commercial insurance
Market conditions, territory, and competitive landscape
Agency support, resources, and infrastructure
Time invested in learning and consistent application
Personal sales ability and relationship-building skills
Economic factors affecting your target prospects

NO GUARANTEES

ECLIPS Academy makes NO guarantees regarding:

Sales results, revenue, or income outcomes
Number of new clients acquired
Book of business growth or retention rates
Policy placements or coverage approvals
Career advancement or promotions
Specific production levels or commissions
Meeting bookings or discovery call conversions

SUCCESS FACTORS OUTSIDE OUR CONTROL

Your success depends on factors we do not control:

Your work ethic and daily consistency
Your market and competitive environment
Economic conditions affecting your prospects
Underwriting decisions by insurance carriers
Your existing skills, relationships, and reputation
How well and how consistently you implement the training
Support and resources provided by your agency

EDUCATIONAL CONTENT ONLY

This training provides education, frameworks, and tools. It does NOT:

Guarantee coverage placement
Guarantee underwriting approval
Guarantee client acquisition
Guarantee specific financial outcomes
Replace your independent professional judgment

14. TERMINATION & SUSPENSION

We may suspend or terminate your access to the Services without refund if you:

Violate these Terms
Engage in fraud or chargebacks
Share accounts or redistribute content
Attempt unauthorized access or misuse of the platform
Fail to pay outstanding balances

Upon termination, your license to use the materials immediately ceases and you must stop using and delete all materials in your possession.

15. DISCLAIMER OF WARRANTIES

To the fullest extent permitted by law, the Services are provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied, including:

Warranties of merchantability
Fitness for a particular purpose
Non-infringement
Accuracy, reliability, or completeness of content
Uninterrupted or error-free operation

We do not warrant that the Services will meet your specific requirements or expectations.

16. LIMITATION OF LIABILITY

To the fullest extent permitted by law, ECLIPS Academy will not be liable for any:

Indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or goodwill
Business interruption or opportunity costs
Damages arising from your use or inability to use the Services

OUR TOTAL LIABILITY FOR ANY CLAIM will not exceed the amount you paid to ECLIPS Academy for the specific product giving rise to the claim.

Some jurisdictions do not allow limitation of certain liabilities, so these limitations may not apply to you.

17. INDEMNIFICATION

You agree to indemnify and hold harmless ECLIPS Academy from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from:

Your use of the Services
Your violation of these Terms
Your infringement of any rights of another person or entity

18. GOVERNING LAW & VENUE

These Terms are governed by the laws of the State of Florida, without regard to conflict of laws principles.

Any dispute shall be brought exclusively in the state or federal courts located in Florida, unless otherwise required by applicable law.

19. FORCE MAJEURE

We are not liable for delays or failure to perform due to events beyond our reasonable control, including acts of God, internet outages, platform failures, governmental actions, or other force majeure events.

20. CHANGES TO THESE TERMS

We may update these Terms from time to time. Updates will be posted with a revised "Last Updated" date.

Continued use of the Services after changes constitutes acceptance of the revised Terms.
